Very few operating groups are structured, as they stand, in a form suitable for a U.S. listing. Most need a holding company in an appropriate jurisdiction, a clean ownership chain down to the operating entities, and a share capital arranged for a public market.
We work with the company and its legal and tax advisers to design that structure and the reorganisation steps that get there — sequencing them so that each step is achievable, documented and consistent with what will later be disclosed.
We also think ahead to what the structure must support after listing: reporting, consolidation, dividend flows and future fundraising.
What we deliver
- Recommended listing structure and holding company jurisdiction
- Step plan for the reorganisation, in sequence
- Share capital and shareholder arrangements reviewed for a public market
- Coordination with legal and tax advisers on each step
- Documentation checklist for the reorganisation
